Terms and conditions
Prices
Prices are quoted in Canadian dollars (CAD) and subject to change without notice. The Harmonized Sales Tax (HST) is charged to Canadian customers where applicable.
Ordering CRMs
Orders must be submitted online either via the online ordering form, or if paying by credit card using the Virtual Store. An email will be sent to confirm the reception of your order.
Pre-payment may be required for some orders. If pre-payment is required clients will be notified, and confirmation that NRC has received the funds is required before any package will be shipped. NRC accepts payment by cheque, direct deposit (Canada only), wire transfer, and credit card.
Orders which are paid by credit card must be submitted via our Virtual Store. For clients who are required or wish to pre-pay for their purchases, the Virtual Store is the fastest way to make an advance payment.
For orders not submitted via the Virtual Store, please note that a $25.00 administration fee will apply.
Service standards
Orders are processed and shipped within 5 business days of receiving all the required information from purchaser – temperature sensitive products may require longer processing time due to carrier shipping schedules.
Payment
Pre-payment may be required for some orders. If pre-payment is required, clients will be notified, and confirmation that the NRC has received the funds is required before any package will be shipped.
All invoices are automatically created in Canadian dollars (CAD). Upon request by the purchaser, invoices can be created in either USD, EUR, YEN or GBP before the order has been processed. Payment is due within 30 days of date of issuance of invoice and must be addressed to:

Interest is calculated and compounded monthly at the fluctuating "Payment on Due Date Interest Rate" that is published on the Government of Canada website. Interest must be paid on overdue amounts from the date when the payment is due until the date it is received. An administrative charge of $25.00 CAD will be invoiced for any cheque for which payment is refused by the bank on which it is drawn.
Shipping
All orders will be shipped via FedEx, with "Carriage Paid To" (CPT) shipping terms, with the exception of some orders that include products classified as Dangerous Goods in Excepted Quantities when FedEx in unable to deliver and the services of our Freight Forwarder1 will be used, or if alternate arrangements have been agreed upon by NRC prior to shipping. For more information on countries FedEx is able to deliver dangerous goods to, please refer to the Fedex website. Shipping fees will be added to orders based on the following fee schedules:

An email will be sent to the purchaser with the shipment tracking information for their order. Clients are encouraged to monitor the shipping progress for any delays. The NRC takes no responsibility for delayed or lost shipments and there is no insurance on packages. Shipments are packaged carefully so that the integrity of the products is maintained. If shipment is not received within a reasonable time, please contact the courier service.
Importing CRMs
Customs and duty charges, along with custom broker fees are the responsibility of the customer. Customer will check quarantine restrictions for his/her country to ensure smooth transfer of the reference materials from Canada to the destination. The Customer assumes ownership and responsibility for the products once they have left the NRC premises. If shipment is not received within a reasonable time, the Customer will contact the courier service.
Products
Products are sold as is and cannot be returned. Certificates of Analysis are valid for CRMs in their original NRC-sealed container only. CRMs are packaged in approximate quantities. Store CRMs at recommended temperature as stated in the relevant Certificate of Analysis.
Entire Agreement
This Sales Agreement supersedes all prior communications, negotiations and agreements concerning the sale of the products. No amendment or waiver of terms in this Sales Agreement, including annexes thereto, is effective at any time. The customer will not attempt to send a purchase order to the NRC relating to the purchasing of the products. The Terms and Conditions that may be an implicit part of a customer's Purchase Orders are hereby expressly rejected by the NRC. The NRC shall include the customer's purchase order number on its invoice for the sole purpose of facilitating the customer's financial tracking.
The fully and properly completed and submitted order form constitutes your offer to purchase the NRC Product(s) identified in your submitted order form. Your submitted order form shall be deemed to be accepted by NRC only if and when NRC sends an order form acceptance to your email address. Should you not receive a response from NRC regarding a submitted order form, it is your responsibility to confirm with NRC whether your order form has been received by NRC.
Disclaimer
Under this Sales Agreement, NRC shall not be liable, in tort or for failure or delay in performance caused by circumstances beyond NRC's reasonable control, nor for incorrectness of information supplied, advice given, or opinions expressed. No specific result is promised. NRC does not warrant that technical information delivered does not infringe the rights of third parties under a present or future patent. No claim may be made for indirect, consequential, or contingent damages. No claim shall exceed the cost of the Product or Service.
Customer shall indemnify and save harmless the NRC, its employees and agents from and against, and be responsible for:
- all claims, demands, losses, damages, costs including solicitor and client costs, actions, suits or proceedings brought by any third party, that are in any manner based upon, arising out of, related to, occasioned by, or attributable to use by the Customer or any third party of any information or product delivered under this sale; and
- other costs, including extra-judicial costs, of the NRC defending any such action or proceeding, which the NRC shall have the right to defend with counsel of its choice.
The NRC cannot guarantee that NRC Products advertised on this website will be available to you when you submit an order form or at any time thereafter. The NRC reserves the right, at any time, without notice or liability to you or any other person, to no longer make NRC Products available, change NRC Products, prices, fees, shipping means, service and other charges, and to limit quantities of NRC Products. The NRC reserves the right to reject any submitted order form.
Laws
This Sales Agreement shall be interpreted according to the laws of the Province of Ontario and the laws of Canada in force there.
Acceptance
You agree to be bound by this Sales Agreement and represent and warrant that you have the legal authority to agree and accept this Agreement on behalf of yourself or the person you purport to represent including an incorporated or unincorporated entity.
